Runite Tier Membership Agreement

This Membership Agreement (“Agreement”) is entered into between Shepley Capital (“Service Provider”) and the subscriber (“Member”) upon purchasing or enrolling in the Runite Tier Membership.

 

1. Scope of Services & General Advice Disclaimer

  • Educational & Information Purpose Only: All content, analysis, research, market intelligence, frameworks, and communications provided under the Runite Tier Membership are strictly for general informational and educational purposes.

  • No Financial Advice: The Service Provider is not providing personal financial, investment, legal, or tax advice. Nothing contained within the membership services constitutes a personal recommendation, solicitation, or endorsement to buy, sell, or hold any digital asset, security, or financial instrument.

  • Member Responsibility: The Member acknowledges that their financial circumstances, risk tolerance, and investment goals are unique. The Member assumes full responsibility for any financial decisions, trades, or investments they execute. Independent financial advice should be sought from a licensed professional prior to making any investment decisions.

 

2. Agreement Duration & Renewal

  • Term: This Agreement becomes effective upon the Member’s initial payment or enrollment and remains active for the entire duration of the Member’s Runite Tier Membership.

  • Continuation Beyond Annual Term: Should the Member elect to extend, renew, or continue their membership beyond the initial annual period (or any subsequent term), this Agreement shall automatically remain active and binding for the full duration of the extended membership without requiring a new contract to be executed.

 

3. Membership Access & Intellectual Property

  • Grant of License: Membership grants the individual Member a non-exclusive, non-transferable, revocable license to access Runite Tier content and resources for personal use only.

  • Proprietary Rights: All materials, guides, frameworks, and proprietary insights remain the exclusive intellectual property of Shepley Capital. Redistribution, reselling, sharing access credentials, or publicly reproducing any content without explicit written consent is strictly prohibited and may result in immediate termination without notice.

 

4. Fees & No Change of Mind Refund Policy

  • Payment: The Member agrees to pay all applicable fees associated with the Runite Tier Membership upon registration, recurring billing, or renewal.

  • No Change of Mind Refunds: Due to the immediate digital access and proprietary nature of the information, tools, and research provided upon joining, all sales are final. Shepley Capital strictly enforces a no-refund policy for change of mind, change in financial circumstances, or lack of platform utilization.

  • Consumer Law: Nothing in this section excludes, restricts, or modifies any consumer guarantee or right to which the Member is entitled under applicable Australian Consumer Law that cannot be lawfully excluded.

 

5. Limitation of Liability & Risk Acknowledgment

  • Market Risk: The Member acknowledges that digital assets, cryptocurrencies, and related markets carry extreme volatility, high risk, and potential for total loss of capital.

  • No Guarantees: The Service Provider makes no guarantees, warranties, or representations regarding future performance, profitability, or specific outcomes based on the information provided.

  • Limitation of Liability: To the maximum extent permitted by law, Shepley Capital, its directors, employees, and affiliates shall not be liable for any direct, indirect, incidental, or consequential losses or damages arising from the Member’s reliance on any information provided through the membership.

 

6. Termination

  • Shepley Capital reserves the right to suspend or terminate a Member’s access immediately if the Member breaches any term of this Agreement, engages in unlawful conduct, or shares proprietary materials outside the authorized platform.

 

7. Governing Law

  • This Agreement is governed by and construed in accordance with the laws of South Australia, Australia, and the parties submit to the non-exclusive jurisdiction of its courts.
